BY ACCESSING OR USING THE YOGURT MILL WEBSITE, MOBILE APPLICATION, ONLINE ORDERING SERVICES, OR ANY RELATED DIGITAL SERVICES (COLLECTIVELY, THE “SERVICES”), YOU AGREE TO BE BOUND BY THESE TERMS & CONDITIONS (“TERMS”). IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT ACCESS OR USE THE SERVICES.

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Yogurt Mill, Inc. (“Yogurt Mill,” “we,” “us,” or “our”).

1. Eligibility

The Services are intended for users located within the United States.

You must be at least 13 years of age to access or use the Services. If you are under 18 years of age, you may only use the Services under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

By using the Services, you represent and warrant that you meet these eligibility requirements.

2. Website and Mobile App Use

Subject to these Terms, Yogurt Mill grants you a limited, non-exclusive, revocable, non-transferable license to access and use the Services for your personal, non-commercial use.

You agree not to:

Use the Services for any unlawful purpose;
Interfere with the operation or security of the Services;
Attempt to gain unauthorized access to any systems, networks, or accounts;
Upload or transmit malicious software, viruses, or harmful code;
Scrape, copy, reproduce, distribute, or exploit any content from the Services without our written consent;
Use automated tools, bots, crawlers, or similar technologies to access the Services.

Yogurt Mill reserves the right to suspend or terminate access to the Services for any violation of these Terms.

3. Email Communications and Text Messages (SMS)

By creating a Yogurt Mill Rewards account, signing up through our website or mobile application, or otherwise providing your email address or mobile phone number, you agree that Yogurt Mill may send you transactional and promotional communications as described below.

Email Communications

By providing your email address, you agree to receive emails from Yogurt Mill regarding your account, rewards activity, purchases, promotions, special offers, new menu items, upcoming events, and other marketing communications.

You may unsubscribe from promotional emails at any time by clicking the “Unsubscribe” link included in our emails. Please note that even if you opt out of promotional emails, we may still send you transactional or account-related communications that are necessary to administer your account or fulfill your requests.

Text Messaging (SMS)

Subscribers may opt in to receive SMS marketing messages from Yogurt Mill during the Yogurt Mill Rewards registration process.

By opting in, you agree to receive recurring automated promotional and personalized marketing text messages from Yogurt Mill at the mobile phone number you provided. Messages may include promotions, loyalty rewards updates, special offers, new menu items, limited-time offers, event announcements, and other marketing communications.

Messages for this program are sent from (209) 436-8900 and will begin with “Yogurt Mill.”

Consent to receive automated marketing text messages is not a condition of making a purchase.

Message frequency varies. Message and data rates may apply.

To opt out at any time, reply STOP to (209) 436-8900. After sending STOP, you will receive one additional message confirming that your request has been processed.

Your participation in the SMS program is also subject to our Privacy Policy.

4. Online Ordering and Third-Party Services

The Services may provide access to online ordering, delivery platforms, payment processors, loyalty services, mapping services, social media platforms, and other third-party providers.

Your use of third-party services may be subject to separate terms and policies maintained by those providers.

Yogurt Mill is not responsible for the availability, accuracy, security, or practices of third-party websites, applications, or services.

Pricing, product availability, menu offerings, promotions, and store hours are subject to change without notice.

5. Yogurt Mill Rewards Program

Participation in the Yogurt Mill Rewards Program is governed by the separate Yogurt Mill Rewards Terms & Conditions, which are incorporated by reference into these Terms.

Yogurt Mill reserves the right to modify, suspend, or discontinue the Rewards Program at any time.

6. Intellectual Property

All content available through the Services, including but not limited to:

Logos
Trademarks
Service marks
Designs
Text
Graphics
Images
Videos
Software
Website content

are the property of Yogurt Mill or its licensors and are protected by applicable intellectual property laws.

No portion of the Services may be copied, reproduced, modified, distributed, displayed, sold, or otherwise used without prior written permission from Yogurt Mill.

7. User Submissions

Any comments, suggestions, reviews, feedback, ideas, photographs, videos, or other materials submitted to Yogurt Mill may be used by Yogurt Mill without restriction or compensation.

By submitting content, you grant Yogurt Mill a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, publish, distribute, and display such content for business, marketing, or promotional purposes.

8. Privacy

Your use of the Services is also governed by our Privacy Policy.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOGURT MILL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR AVAILABILITY.

YOGURT MILL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOGURT MILL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL YOGURT MILL’S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO YOGURT MILL FOR THE APPLICABLE TRANSACTION GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS MAY NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IN SUCH CASES, THOSE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless Yogurt Mill, its officers, directors, employees, affiliates, agents, and service providers from and against any claims, damages, liabilities, costs, or expenses arising out of:

Your use of the Services;
Your violation of these Terms;
Your violation of any law or third-party rights.

12. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall first be submitted to Yogurt Mill for informal resolution.

If a dispute cannot be resolved informally, it shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules.

Arbitration shall take place in Stanislaus County, California, unless otherwise required by law.

The arbitrator shall have authority to award any relief available under applicable law on an individual basis.

13. Class Action Waiver

YOU AND YOGURT MILL AGREE THAT ANY CLAIM SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, REPRESENTATIVE ACTION, OR COLLECTIVE PROCEEDING.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles.

Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Stanislaus County, California.

15. Changes to These Terms

Yogurt Mill reserves the right to update, modify, or revise these Terms at any time.

Changes will become effective upon posting to the Services.

Your continued use of the Services following any changes constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
